By accessing or using Tracenotes ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. These terms apply to all visitors, users, and others who access or use the Service.
2. Not Investment Advice
IMPORTANT: Tracenotes is an information and research tool only. Nothing on this platform constitutes investment advice, a recommendation to buy or sell any security, or any form of regulated financial advice. All analysis is provided for informational and educational purposes only. You should not make any investment decisions based solely on information provided by Tracenotes. Always consult a qualified financial advisor before making investment decisions. Past signals identified by Tracenotes do not guarantee future performance or the identification of future material events.
3. Description of Service
Tracenotes provides AI-powered analysis of publicly available SEC filings obtained from SEC EDGAR. Our service detects language changes between consecutive filings and provides AI-generated interpretations of those changes. All underlying filing data is publicly available and sourced from the U.S. Securities and Exchange Commission. Tracenotes is not affiliated with or endorsed by the SEC.
4. User Accounts
When you create an account, you must provide accurate and complete information. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.
5. Subscription and Payment
Paid subscriptions are billed in advance on a monthly basis. You authorize us to charge your payment method for the applicable subscription fee. Subscriptions automatically renew unless cancelled before the renewal date. Refunds are not provided for partial months of service. We reserve the right to change subscription prices with 30 days notice.
6. Free Tier Limitations
Free tier users are limited to 3 analyses per browser session. Free tier access may be modified or discontinued at any time. Free tier usage is tracked via browser localStorage and is not tied to a user account.
7. Acceptable Use
You agree not to use the Service to violate any applicable laws or regulations, infringe any intellectual property rights, attempt to gain unauthorized access to any part of the Service, use automated means to scrape or extract data from the Service without permission, or resell or redistribute the Service or its outputs without written permission from Tracenotes.
8. Intellectual Property
The Tracenotes platform, including its software, design, and AI models, is owned by Tracenotes and protected by intellectual property laws. The underlying SEC filing data is public domain. AI-generated interpretations and analyses are the property of Tracenotes. You may not reproduce, distribute, or create derivative works from our platform without written permission.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRACENOTES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SIGNALS IDENTIFIED WILL PREDICT FUTURE MARKET EVENTS. AI-GENERATED INTERPRETATIONS MAY CONTAIN ERRORS AND SHOULD BE INDEPENDENTLY VERIFIED.
11. Termination
We may terminate or suspend your account at any time for violation of these terms. You may cancel your subscription at any time through your account settings. Upon termination, your right to use the Service will immediately cease.
12. Governing Law
These terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of Delaware.
